Commercial Transactions

L&G Law Group ’s Commercial Transactions practice group handles commercial, financial and corporate transactions such as real estate, lending, leasing, capital raises, private placements, mergers, acquisitions, divestitures, franchising and joint ventures. We also handle business related litigation when our clients are suing or being sued.

We represent public and private companies in connection with negotiated transactions including loans, commercial real estate (purchase, lease, management and sale), franchising, mergers, stock purchases and asset acquisitions, capital raises, private placements, leveraged buyouts and other transactions involving changes in corporate control. In these transactions, our participation may include formulation of tactical, structural and negotiating positions, as well as document preparation and management of due diligence and deal closing. We are experienced in representing sellers, buyers, investors, landlords, tenants, corporate borrowers, commercial banks and lenders, and management groups, both in the U.S. and overseas.

We represent a variety of business enterprises as their general corporate counsel. In that capacity, we handle general corporate matters, capital raises and securities, executive compensation, employment disputes and other corporate formation and governance matters, in addition to general commercial transactions and litigation. This relates to both for-profit and not-for-profit enterprises.

The Commercial Transactions practice group includes representation of client boards of directors or managers, their committees and others with respect to issues relating to corporate governance, business judgment, disclosure obligations and compliance matters arising under state and federal laws including the Sarbanes-Oxley and related corporate governance reform regulations. We also advise clients, including boards of directors and managers, and their committees, in the conduct of record retention, establishment of internal policies and special internal investigations. These matters involve both civil and criminal issues, and include regulatory compliance issues. We represent clients in connection with investigations and other proceedings before governmental agencies and regulatory organizations, as well.
