In our corporate practice, we advise clients in the formation, dissolution, governance, acquisition, merger, restructuring or other change of ownership, of business entities including corporations, partnerships, joint ventures, and limited liability companies. We also counsel members, partners or shareholders wishing to organize, consolidate or liquidate business holdings.

We are actively involved in the daily operation of business enterprises for our clients who do not employ in house counsel. In that role, we advise on day-to-day legal matters, such as issues related to corporate finance, licensing and distribution tax, and a variety of other matters facing brick-and-mortar as well as high technology businesses.

Our commercial and tort litigation lawyers are also available to assist our corporate clients, which provides businesses with an opportunity to benefit from a full range of services from in a single firm. Additionally, our attorneys assist our clients with respect to compliance with laws and regulations impacting their businesses, including anti-money laundering laws, the Foreign Corrupt Practices Act, export controls, OFAC sanctions, HIPAA compliance, data privacy, and records retention policies. This assistance can range from representing clients with alleged violations to proactively assessing risk and helping to implement process and procedures to ensure compliance going forward.
